Introduction
As required by the Federal Energy Regulatory Commission Standards of Conduct for Transmission Providers (Standards), Great Plains Energy Incorporated (“Great Plains Energy”) and its subsidiaries (collectively, the “Company”), provide in this document and the linked documents, the information specified in 18 CFR 358.4(b). The information will be updated as required by the Standards.
This document provides a general description of the organizational structure of the Great Plains Energy holding company and its utility subsidiaries, Kansas City Power & Light Company (“KCP&L”) and KCP&L Greater Missouri Operations Company (“KCP&L Greater MO” formerly known as Aquila, Inc.) and Energy Affiliates. The linked documents provide more detailed organizational charts, including job titles and descriptions and the names of Company employees engaged in Transmission Function or Energy Affiliate activities other information required by the Standards.
Capitalized terms not otherwise defined in these documents have the meanings ascribed to them in the Standards.

Great Plains Energy Incorporated (“Great Plains Energy”) is a public utility holding company. Great Plains Energy does not own or operate any significant assets other than the stock of its subsidiaries.
KCP&L and KCP&L Greater MO are wholly-owned subsidiaries of Great Plains Energy operating as integrated, regulated electric utilities engaged in the generation, transmission, distribution and sale of electricity. KCP&L and KCP&L Greater MO are the only two "Transmission Providers" in the Great Plains Energy holding company system.
Names, addresses and shared facilities of Energy Affiliates
Great Plains Energy Services Incorporated (“Great Plains Energy Services”) is a subsidiary service company of Great Plains Energy that provides certain corporate and shared services to Great Plains Energy and its subsidiaries. These services include governance, legal, accounting, finance, treasury, risk management and other services.
Introduction
The company's utility divisions and functions report to the Executive Vice President Utility Operations who in turn reports to the President and Chief Executive Officer. The utility operations functions are described below, and the linked documents provide the organizational structures, job titles, job descriptions and employee names as required by the Standards.
Position Descriptions of KCP&L Officers and Directors
Transmission Function and Energy Affiliate Employees - General
Transmission functions are performed by the employees in the Company’s Transmission Policy, Planning and Compliance Division, and by certain employees in the Transmission & Distribution Operations Division. The Vice President - Policy, Planning and Compliance and all of his direct and indirect reports are considered Transmission Function employees. The Vice President - Transmission & Distribution Operations, the Manager - T&D Operations and Emergency Management, the Director - Transmission and Substation Construction, the Director - Engineering and Asset Management, employees in the Field Operations and all direct and indirect reports are also considered Transmission Function employees. These departments report directly or indirectly to the Senior Vice President - Delivery. Other departments and functions also report to the Senior Vice President - Delivery but are not involved with offering and providing transmission or wholesale merchant functions.
The Company’s affiliate corporations are KCP&L, KCP&L Greater MO and MPS Merchant Services, Inc. (formerly known as Aquila Merchant Services, Inc.) The following KCP&L departments are Energy Affiliates as defined by the Standards: KCP&L Power Sales and Services department, KCP&L Energy Resource Management department, KCP&L Fuels department. All departments responsible for the Company’s Energy Affiliate activities report to the Senior Vice President - Supply.
Station Managers and other departments (Plant Services, Construction Services, and Maintenance Services) report to the Vice President - Plant Operations, which in turn, report to the Senior Vice President - Supply. These groups along with the Engineering Services Department reporting to the Senior Vice President - Supply are not involved with offering and providing transmission services or wholesale merchant functions.
Transmission Function
Transmission Policy, Planning and Compliance
The Transmission Policy, Planning and Compliance division is responsible for the planning of the bulk power transmission system to provide reliable and quality service to its transmission customers. The department is made up of three groups: Transmission Planning, Transmission Policy and .Operations Compliance Programs.
The Transmission Planning group is responsible for the planning of the transmission system facilities to meet customer needs, to provide operations support and to perform transmission system impact studies. The engineers develop load flow models for the planning and operating horizons to study the reliability of the transmission system and effects of new customer loads, transmission service requests and generating facilities. They also perform seasonal operational studies to identify system constraints and remedial action to alleviate limitations. The Transmission Planning Group is responsible for filing FERC 715 and providing system data to the Southwest Power Pool (SPP) and the Mid-Cont Area Power Pool (MAPP). They are also responsible for ensuring that the seasonal TTC and ATC calculations as performed by SPP for the OASIS are accurate for the Company and they will monitor these postings as system conditions change.
The Transmission Policy group is responsible to provide strategic policy guidance for transmission business. Responsible for legislative, regulatory, operational and reliability policy matters in regards to the electric transmission business. Works in conjunction with other electric industry transmission policy leaders to development and provide industry guidance for new legislative and regulatory policy for transmission and reliability areas.
The Operations Compliance Programs group is responsible for the monitoring, review and implementation of NERC Reliability Standards, FERC Transmission Tariff Administration, FERC Standards of Conduct, FERC Code of Conduct. This group is also responsible for preparing portions of the annual FERC accounting reports.
Transmission & Distribution Operations
The Transmission & Distribution Operations division has the following groups that are considered to perform Transmission Function activities. These groups include: T&D Engineering and Asset Management, T&D Operations & Emergency Management, Transmission and Substation Construction & Maintenance, Distribution Construction and Maintenance.
T&D Engineering and Asset Management
T&D Engineering and Asset Management has the following departments that perform Transmission Function activities: Program Services, Engineering, T&D Asset Management, T&D Standards Engineering and Central Design.
Program Services – Group responsible for managing the portfolio of projects across the combined distribution, substation and transmission organization as well as oversight of the integration projects for Delivery.
Engineering – Group responsible to lead the engineering planning and studies groups in the Distribution, Substation, Transmission, and System Protection areas.
T&D Asset Management – Group responsible for establishing and implementing targeted asset management maintenance and replacement practices for the distribution and transmission assets.
T&D Operations & Emergency Management
T&D Operations & Emergency Management has the following departments that perform Transmission Function activities: Transmission System Operations, Operations.
T&D System Operations – This group monitors and operates the transmission and distribution systems. At least one transmission system operator is on duty twenty-four hours per day for all days of the year. The transmission system operator is responsible for monitoring the status of the transmission system and taking corrective action whenever a problem or potential problem exists. His or her responsibilities include voltage control, coordinating the scheduling of transmission equipment out of service for maintenance, switching, and the coordination of the operation of our system with the operation of the transmission systems of other utilities in the region. The distribution operations group monitors and operates the 34kV system as part of their duties to operate the distribution system.
Operations – This group is responsible for the field switching and field restoration work in order to maintain and operate the 12kV, 13kV and 34kV systems.
Transmission Substation Construction and Maintenance
The Transmission and Substation Construction & Maintenance group consists of the following departments that perform Transmission Function activities: Substation Construction & Maintenance, Transmission Substation & Maintenance, and Relay.
Substation Construction & Maintenance – This group is responsible for all activities associated with construction and maintenance of system substations. The voltages include 4 kV, 13 kV, 34 kV, 69 kV, 161 kV, and 345 kV. The group is also responsible for the maintenance of all Company owned 13 kV automatic switchgears located on customer premises. The group is also responsible for the operation and maintenance of certain Company owned power plant switchyards.
Transmission Substation & Maintenance – This group is responsible for all activities associated with the construction and maintenance of overhead and underground transmission lines. The voltages include 69kv, 161kv, and 345kv. The work is accomplished primarily using outside contractors.
Relay – This group is responsible for the relay system protection schemes, calibration and functional testing for the transmission, distribution and a sub-section of generation assets.

District Distribution Construction and Maintenance
These groups represent numerous service centers in the metropolitan and outlying areas that are responsible for all construction and maintenance activities required for the distribution system. These activities also include construction and maintenance for the 34kV system.
Energy Affiliates Functions
All departments responsible for the Company’s Energy Affiliate activities report to the Senior Vice President - Supply. These departments are Power Sales & Services and Fuels, which are described below. There are non-Energy Affiliate departments within the division that also report to the Senior Vice President - Supply.
Power Sales and Services
The Power Sales and Services department is responsible for the economic operation of the Company’s generating resources to meet native load and to purchase and sell energy and energy related products. This group is responsible for the Company’s marketing activities of the wholesale energy and capacity products including portfolio development and financial risk management. This group is also responsible for the reporting of generation energy and transaction accounting for all wholesale energy transactions.
Fuels
The Fuels department is responsible for the Company’s strategy development, purchase, delivery and contract administration of fossil fuel and related transportation services including coal, oil and natural gas. This group is also responsible for the Company’s acquisition of fuel-related commodities and services including limestone, rail transportation equipment and railcar maintenance services. In addition, Fuels is responsible for strategy development and administration of the SO2 emission allowances, fuel inventory levels and coal combustion by-products sales.

Supply/Plant Operations/Renewables
Engineering Services
Engineering Services is responsible for the engineering and technology transfer associated with new fossil generating plants as well as plant betterment projects. This group also provides for generating unit diagnostic, reliability, and efficiency engineering services to improve unit performance and capability. In addition, this group provides those engineering and related services required to provide station-to-station consistency and to assure the Company’s compliance with state and federal regulations.
Generating Station Managers
Each Generation Station Manager is responsible for the daily operation of the station including fuel receipt, inventory & delivery to the unit, operation and maintenance of generation equipment, and operation of the unit at the power levels required by the Power Operations Group. Managers develop plans with the assistance of Power Production Engineering, Plant Services, and Maintenance Services to ensure efficient and reliable short and long term unit operation, to coordinate their maintenance and budget requirements to meet operational requirements, and to ensure the generating assets long term value are maintained or enhanced. Plant Managers partner with the Fuels Department to ensure an adequate and economical fuel supply is provided at each facility. Each generating station is dictated the loading requirements for their generating unit(s) by Power Services and Transmission Services to support meeting the customer load and voltage demands of the Company’s system.
Plant Services
Plant Services provides support services to all the Company generating stations. This group helps to develop skills training programs for power plant personnel, develops and delivers skills training classes, develops power plant safety procedures meeting OSHA standards and requirements, develops and executes plant emergency drills, performs plant inspections, and performs plant safety audits. Additionally, the group provides financial analysis and reporting to provide the general and similar requirements needed for the generating stations.
Construction Services
Construction Services provides project management and construction management support to all Company generating stations. Projects span all aspects of fossil fuel plant construction, operations and maintenance, including electrical, civil and mechanical projects. Technical support is provided for boiler and turbine overhauls, fuel systems, rail maintenance, asbestos abatement and insulation, water treatment, air handling, plant auxiliaries, and disaster response among others. Coordination between Engineering, Planning, Purchasing and contractors is also a primary role for this department.
The p.m./c.m. support includes overseeing the development, implementation and monitoring of several maintenance agreement contracts (mechanical, electrical and insulation) with a large financial impact to the Company. Planning and estimating support is provided as well as cost tracking, scheduling, progress status reporting, payment approvals, etc. The department is considered the primary end user and the primary program support for the Contractor Pay System that serves to interface Company’s maintenance management and financial systems. The department is also the sole administrator of the policy on substance abuse testing for outside contractors.
Maintenance Services
Maintenance Services provides support services to all the Company generating stations. The support this group provides includes turbine-generator overhauls, soil compacting, asbestos abatement, and insulation installations. In addition, this group also provides project management for electrical, civil and mechanical projects.
Renewables and Gas Generation
The Renewables and Gas Generation group is responsible for the operation and maintenance of current and planned wind facilities, future renewable energy facilities (except for co-firing applications at existing coal plants), simple cycle combustion turbines, materials management and the Central Machine Facility (a full-service machine shop offering welding, fabrication and overhaul and repair services among other services). The Renewables group is the corporate resource for long-term operation and maintenance cost and performance expectations for all central generation renewable technologies, including the co-firing of renewable fuels with coal.
Other Divisions and Functions
Finance, Treasury & Accounting
Finance, Treasury & AccountingThe Finance and Treasury groups are responsible for the Company’s strategic planning, risk management function, budgeting, financial planning and the cash management processes (processing payments and ensuring proper posting to customers' accounts). The Corporate Budgets group creates, coordinates, analyzes, and revises all capital and operating budgets for the company.
The Accounting function provides guidance regarding the application of GAAP, SEC and/or FERC regulations in the recording of all known financial transactions in the periods incurred. The group also provides and maintains accounting systems, including payroll, accounts payable, book and tax property systems, with adequate detail to provide sufficient reporting. Accounting allows for analysis of costs, support of asset and liability balances and preparation of tax returns. Accounting also provides training in the analytical tools available to analyze costs and assist in the understanding of the results of those analyses. The Tax group within manages the Company’s tax issues, including research and analysis to quantify tax opportunities, the preparation and filing of all federal, state and local tax returns, and the accounting for such taxes.
Energy Resource Management
This department supports the Power Sales and Services department by performing the Company’s market research, new product development, proposal development and customer surveys. This group is also responsible for the Company’s resource planning and analysis of generating assets, to research and analyze the competitive position in the marketplace, to determine the levels of business risk to take regarding use of generation resources and interchange transactions, and to provide pricing analysis for short-term and long-term obligations.
Administrative Services
The Corporate Services function provides procurement/purchasing, facilities management and maintenance services, document processing and printing and mail services, information technology, and resource protection.
The Facilities group operates, maintains, leases and subleases facilities and maintains building grounds and equipment at acceptable and approved industry standards. Facilities also includes the operation and maintenance of structures, capital improvements, interior space planning, security and janitorial. The Procurement/purchasing function processes requisitions for stock and non-stock materials, labor and contractors requested by business units; negotiates material and contract labor contracts to ensure quality and delivery of product and services. Purchasing also disposes of obsolete assets and manages the procurement and travel & entertainment card programs.
The Information Technology group is responsible for the company's information technology resources. The group includes a number of services including: telecommunications (voice and data networks, telephone services, and broadcast teleconferencing services); information systems (provides user system support; maintains computer systems by providing data fixes, ad-hoc reporting, application extensions, program fixes, interface monitoring/controls, and process exception handling; develops new computer application systems by gathering system requirements, software evaluation, software installation and coding, data conversions, and system testing, training, and implementation); information system infrastructure and architecture (designs and manages local area networks; procures and supports desktop devices; manages data center; help desk support; database hardware, middleware and software operating systems monitoring and support).
The Resource Protection function includes Security and Information Security. Security is responsible for personal and physical security services including facilities, property ingress/egress, investigations, background checks, and facilitates emergency and disaster recovery planning and drills. Information Security is responsible for ensuring that information systems perform as expected and that the integrity, availability, and confidentiality of information system resources are preserved.
The Human Resources group confers and consults with operations management and supervision on HR-related issues (employment, labor relations, compensation and benefits, training, medical and safety) by partnering to formulate human capital strategy and direction. Winning Culture functions contribute to the organization through the facilitation of cross-functional teams and other initiatives in developing, building and implementing a defined corporate culture. The function also serves as the delivery conduit of HR products and services by implementing and executing HR programs, policies, and processes within the guidelines formulated by management and the corporate Human Resources function.
Energy Solutions
The Energy Solutions group has responsibility to develop, design, and implement the marketing strategy for retail commercial & industrial sales, residential sales, service and product development programs that meet the needs of the regional market. This group is also responsible for establishing relations in an effort to set market and customer related priorities and enhance organization's understanding of their respective market/service territory.
Legal & Environmental Affairs
The Legal function provides client contract and procedural review and negotiation, litigation, liability assessment, financing support for bankruptcy and collection, regulatory support through representation and rule interpretation, and employment and labor relations investigations, union contracting, EEOC issues, and other employee matters. The Environmental function manages, monitors, and provides guidance on ensuring continuous compliance with all environmental legislation and regulations, develops and recommends environmental programs, performs remediation, and obtains required environmental permits.
Regulatory Affairs
To satisfy the requirement of regulatory rules, policies and processes and effectuate corporate and marketing goals, the Regulatory Affairs function is responsible for the development and administration of cost studies, rates, rules and regulations, revenue requirements, tariff filings, energy supply contracts, risk management, fuel hedging and customer contracts.
Public Affairs
The Public Affairs group is responsible for enhancing the relations of the company with shareholders, community, federal, state and local governments and employees through written and verbal communications, providing legislative support and guidance on governmental matters, and coordinating and monitoring corporate contributions and volunteer programs.
Customer Services
Customer ServicesThe Customer Services group is responsible for the programs needed to maintain good relations with the organization's customers by providing the necessary services to handle customer calls, claims and complaints. The function also serves as liaison with sales, marketing and other line personnel and is also responsible for billing, customer accounting, customer inquiries, meter reading and credit and collection.
